By accessing or using any services provided by Floqal ("Company," "we," "us," or "our"), including but not limited to our website at floqal.com, the self-serve dashboard at floqal.com/app/, managed services, and custom development solutions, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must not access or use our services. We reserve the right to update or modify these Terms at any time. Continued use of our services following any changes constitutes your acceptance of the revised Terms. We will indicate the date of the most recent revision at the top of this page.

2. Description of Services

Floqal is a full-stack digital agency that provides the following categories of services:

3. Account Registration and Authentication

Access to our self-serve tools and certain managed services requires account creation. Floqal uses Telegram-based authentication exclusively. By logging in, you authorize us to receive your Telegram user ID, first name, and username for the purpose of account identification.

We do not store passwords. Authentication is handled entirely through Telegram's login widget. One Telegram account corresponds to one Floqal account. Sharing account access with third parties is prohibited unless explicitly authorized by Floqal.

4. User Responsibilities and Acceptable Use

By using our services, you agree to the following:

You shall use Floqal's services only for lawful purposes. You must not use our services to engage in, facilitate, or promote any activity that violates applicable local, national, or international laws and regulations.

You are solely responsible for ensuring that your use of Floqal's tools and services complies with the terms of service of any third-party platforms involved, including but not limited to Telegram's Terms of Service. Floqal provides tools and infrastructure; how you use them is your responsibility.

You are solely responsible for all content, messages, and materials transmitted through our services. Floqal does not pre-screen or monitor user content, but reserves the right to review and remove content or suspend accounts that violate these Terms.

5. Payment Terms

5.1 Pricing and Currency

All prices for services are listed on our website or communicated directly during consultation for custom projects. Prices are denominated in US Dollars (USD) unless otherwise specified.

5.2 Payment Method

Payments are processed exclusively via cryptocurrency through our payment processor, Cryptomus. By making a payment, you agree to comply with Cryptomus's terms and conditions in addition to these Terms. Floqal does not process credit card, bank transfer, or other traditional payment methods at this time.

5.3 Billing and Subscription

Self-serve tools may be offered on a subscription basis (monthly or per-use). Subscriptions renew automatically unless canceled before the renewal date. You are responsible for ensuring sufficient funds or active payment methods for renewal.

5.4 Refund Policy

Due to the digital nature of our services, all sales are generally non-refundable once the service has been delivered or access has been granted. Exceptions may apply as outlined in our Refund Policy. If you believe you are entitled to a refund, contact us at @FloqalSupport within 7 days of the transaction.

5.5 Late Payment and Non-Payment

Failure to complete payment for ordered services may result in suspension of access to your account and all associated services. We reserve the right to pursue collection of outstanding balances through appropriate means.

6. Intellectual Property

6.1 Floqal's Intellectual Property

All content, software, tools, designs, logos, trademarks, and other intellectual property displayed on or provided through floqal.com are the exclusive property of Floqal or its licensors. You may not copy, reproduce, distribute, modify, or create derivative works from any of our intellectual property without prior written consent.

6.2 Custom Development Work

For custom development projects, ownership of the deliverables will be defined in the individual project agreement. Unless otherwise specified in writing, Floqal retains ownership of all underlying code libraries, frameworks, and tools developed or used during the project. The client receives a perpetual, non-exclusive license to use the delivered work product for their intended purpose.

6.3 User Content

You retain ownership of any content you create, upload, or transmit through our services. By using our services, you grant Floqal a limited, non-exclusive right to process and transmit your content solely for the purpose of delivering the requested service.

7. Service Availability and Modifications

7.1 Availability

We strive to maintain high availability of our services, but do not guarantee uninterrupted or error-free operation. Our services may be temporarily unavailable due to scheduled maintenance, system updates, or circumstances beyond our control, including third-party platform outages.

7.2 Modifications

Floqal reserves the right to modify, suspend, or discontinue any service, feature, or tool at any time, with or without notice. We will make reasonable efforts to notify users of significant changes that affect active subscriptions or ongoing projects.

7.3 Third-Party Dependencies

Our services rely on third-party platforms, including Telegram. Changes to third-party APIs, terms of service, or platform policies may impact the availability or functionality of our services. Floqal is not liable for disruptions caused by third-party platform changes.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

You acknowledge that you use our services at your own risk and that Floqal provides tools and infrastructure without guaranteeing specific outcomes, campaign results, or platform compliance on your behalf.

You agree to indemnify, defend, and hold harmless Floqal, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

10.1 Termination by You

You may stop using our services and request account deletion at any time by contacting us at @FloqalSupport. Termination does not entitle you to a refund for any prepaid services or active subscriptions, except as provided in our Refund Policy.

We reserve the right to suspend or terminate your account and access to our services at our sole discretion, without prior notice, if:

Upon termination, your right to access and use our services ceases immediately. We may delete your account data after termination, subject to any legal obligations to retain certain records. 11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Floqal operates, without regard to its conflict of law provisions.

11.2 Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or your use of our services, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or applicable courts of competent jurisdiction.

11.3 Waiver of Class Action

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

12. Privacy

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our services, you consent to the practices described in our Privacy Policy.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable service-specific agreements, constitute the entire agreement between you and Floqal regarding the use of our services.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Floqal may assign its rights and obligations without restriction.
